Don Zeithaml is a corporate and securities lawyer in Gallagher’s Corporate and Corporate Finance and Mergers & Acquisitions/Private Equity practice areas.

Don has extensive experience representing clients in the purchase and sale of businesses (including transactions structured as mergers and as stock and asset acquisitions), joint venture arrangements, complex shareholder agreements, private equity investments in portfolio companies, private equity and real estate investment fund formation, succession planning, and all manner of other corporate and corporate finance transactions and contracts.

Don’s securities work includes private placements of securities, including the preparation of disclosure documents and securities purchase and subscription agreements, identifying and complying with federal and state (blue sky) registration exemptions, and other federal and state securities laws compliance matters applicable to securities offerings.

Don represents clients in a wide range of industries, including venture capital, real estate private equity, multi-family and senior living real estate development, real estate and renewable energy finance, education, medical clinical services, medical equipment, home-care, adult daycare, senior living facility management, technology, transportation, manufacturing, construction, drug treatment, specialty engineering, and professional services.

Prior to joining Gallagher, Don practiced corporate and securities law at an international law firm in Chicago doing private mergers and acquisitions and private and public securities offering work.
