Stephen Goldberg recently led several Gallagher Evelius & Jones LLP attorneys in representing the owner of waterfront property in the southern portion of the Inner Harbor area of Baltimore City in the settlement of litigation and the subsequent sale of the property. Suit was brought by a development group which claimed it had an option to purchase the property to build a Ritz Hotel and Ritz-branded condominiums. Our client’s position was that the option expired several years ago. We successfully assisted the client in accomplishing both sides’ objectives. Specifically, we assisted the client in structuring a new sale of the parcel and used the agreement to make the new sale a basis for the settlement and dismissal of the lawsuit.

The matter was complicated both on the litigation and the real property fronts. Each party had numerous affiliates and prior involved parties whose interests needed to be taken care of and releases obtained. In addition, the development of the property would plainly have an impact on neighboring properties owned by affiliates of our client. Among the many issues that were successfully negotiated and resolved for our client and its affiliates were price, density, riparian rights, marina development and use, and the relationship between the adjoining properties.
