Public Finance
We have an active public finance practice, with experience representing a variety of participants in a wide range of transactions. Our practice includes the representation of borrowers, credit enhancement providers, underwriters and placement agents, trustees and issuers, with a focus on multifamily housing, health care and education. Our experience in serving in a variety of roles has given us an understanding of all facets of public finance transactions and our representation of many nonprofit organizations, including hospitals, long term care institutions and educational institutions, has provided us with a heightened sensitivity to the mission of our clients.
We have represented clients in connection with fixed rate, variable rate, and auction rate bond issues, interest rate swaps and other derivative products, credit-enhanced bonds (with credit enhancement provided by letters of credit, bond insurance, and repurchase agreements); public issues, private placements, bank-qualified bonds, and tax increment financing and special tax district bonds.
The firm has substantial experience in all facets of the issuance, purchase and securitization of tax-exempt bonds financing multifamily housing developments. In such capacity, a number of the members of our firm's Real Estate and Business Transactions group have developed expertise in the structuring and closing of the conduit financings for these transactions, the analysis and resolution of complex tax issues relating to such financings, and the secondary market securitization of such bonds following their purchase. Our attorneys regularly represent developers and Section 501(c)(3) organizations that borrow the proceeds of such bond financings and the purchasers who buy these bonds, including a NYSE-listed company that specializes in making such purchases throughout the United States.
