Biography
Concentrating his practice on corporate, commercial and real estate transactions, much of Steve Goldberg's work involves debt and equity financing for companies and projects of all types. He has extensive experience in multifamily transactions and in particular, the development and financing of affordable housing involving the low income housing tax credit and tax-exempt bonds. Steve has spoken at a variety of educational seminars on affordable housing and has also taught the subject as an adjunct professor at the University of Maryland School of Law. His corporate and commercial work includes structuring entities and organizations to achieve the economic, tax, cultural and participatory goals of his clients. Steve's other areas of practice include strategic consulting, real estate related workouts, creditors' rights, and renewable energy.
Representative Transactions
- Design and negotiate complex 300 year ground lease for 27-acre Brownfield site in Baltimore, Maryland.
- Ongoing representation of the developers of the above 27-acre Brownfield site in Baltimore City for mixed use, including office, retail, hotel, structured parking, public park and public use facilities; total build-out expected to exceed $750 million.
- Represented the seller in the sale of a Fannie Mae/Freddie Mac/HUD lending business.
- Represented the seller in the sale of a low-income housing tax credit business with over $10 billion in assets and 2,200 properties under management.
- Represented the buyer in the acquisition of a low income housing tax credit asset management business with over 200 properties under management.
- Represented the seller in the sale of a solar fund business.
- Ongoing representation of an assisting living developer and operator in raising a series of private equity funds totaling over $100 million.
- Represented an assisted living developer in restructuring over $60 million in project debt.
- Ongoing representation of issuer of preferred equity in restructuring various series of preferred shares.
